Registration for Web Service
These terms of Use are an integral part of a PAYROLL DATA SERVICE CONTRACT (hereinafter named the “Contract”) signed between PSC Payroll Services Centre Inc. (“PSC”) and the user (the “User”) of the Nethris Internet Suite (the “Web Service”). The User acknowledges that the terms of use of this notice are herein made part of the Contract with the same effect as if included in the Contract and further acknowledges that the User accepts such terms. In consideration of the foregoing, the User is authorized to access and to use the Web Service as an extension of the Contract, upon the following conditions:
Instructions
When using the Web Service, you must consult and follow the instructions that PSC will make available to you. These instructions will be communicated through notices, guides available on demand or any other way PSC will deem appropriate. PSC reserves the right to modify these instructions at its discretion at any time. Therefore, you must consult them regularly.
Access codes
You are required (1) to keep your password secret and take all the usual security precautions regarding user codes and passwords, and (2) to disconnect from the Service (by clicking on the “Close the session” button) at the end of each session.
You are responsible for losses you suffer in relation to the Web Service if you compromise the confidentiality of the User codes and password. You must notify PSC without delay if the password’s integrity has been jeopardized or if you suspect that the password is known to a third party.
PSC reserves the right, without prejudice to its other rights and remedies, to unilaterally and without prior notice cancel User codes and passwords used in violation of this User Agreement, depending on the circumstances.
Signature
Transactions you execute while accessing the Web Service using the User code and password assigned to you by PSC have the same legal effect as if executed in accordance with your signed written instructions.
Obligations
It is the User’s obligation to maintain the equipment required to access the Web Service is good working conditions. If you are using the Web service, you must regularly visit our Site in order to comply with our instructions. Furthermore, you shall not use the Web Service illegally, fraudulently or in a manner that affects the security, the integrity and the efficiency of the Web Service.
Access to the site
PSC reserves the right to grant or refuse access to the Web Service at its entire discretion.
Security of Internet transmissions
You declare that you are familiar with the Internet and that you are aware of its limitations, including the risks of interruption, response times for consulting or transferring data, and the risks inherent in any data transfer.
Unfortunately, no data transmission by Internet is perfectly secure and although PSC takes all necessary measures to protect the personal information you submit, PSC cannot guarantee the absolute security of the information transmitted to PSC.
Restrictions on use
You are prohibited from modifying, copying, distributing, transmitting, circulating, representing, reproducing, publishing, licensing, transferring or selling any information, software, product or access to the Web Service, in whole or in part, or from creating subsidiary works from the above-mentioned items.
Limitation of liability
Subject to the provisions of the Contract concerning PSC liability in the data processing, the User relieves PSC from all and any claims, warranty or liability whatsoever relating to use of the Web Service. This means that PSC shall not be held liable for any damages whatsoever, direct or consequential, resulting from use of the Web Service.
PSC does not guarantee that the information indicated or transmitted on the Web Service is free from viruses or other harmful devices nor that the Service shall be uninterrupted or error free; furthermore, PSC does not guarantee any results that may be obtained from the use of the Web Service, nor as to the accuracy or reliability of the Web Service. Any information provided through the Web Service is offered on an “as is” basis.
Acts of god
Without limiting the generality of the foregoing, PSC shall not in any way be liable for a default to procure the Web Service if the cause for such default is beyond the reasonable control of PSC. Such cause shall include, without limitation, any force majeure cause, fire, power failure, flood, war, explosion, insurrections and riots, civil war, terrorism, sabotage, acts of government, earth quake, epidemic or quarantine, strikes or labour troubles causing cessation, slowdown or interruption of work.
Modifications
PSC reserves the right to modify this Terms of Use, in whole or in part, without prior notice and may also, at its entire discretion, modify the nature of the products and services offered by, among other means, informing you when you access the Web Service.
Form of notices
Any notice from PSC may be addressed to you by email or regular mail or both, at PSC’s option.>
Confidentiality
You undertake to keep confidential all information identified in the Service as being « confidential » or which would be considered by its very nature to be confidential by any person exercising reasonable business judgment.
Termination of the agreement
PSC may terminate this agreement and suspend the Web Service, in whole or in part, at any time simply by sending you a notice.
